This End User License Agreement ("Agreement") is between you ("Licensee," "you," or "your business") and Trade Workflows Incorporated ("Licensor," "we," "us," or "our") and governs your use of the WorkFlow OS web and mobile application software (the "Software"). By installing, accessing, or using the Software, you agree to be bound by this Agreement. WorkFlow OS is currently in pre-launch development; this Agreement describes the license terms that will apply once the Software becomes available to subscribers.
Subject to your compliance with this Agreement and payment of applicable subscription fees, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business operations, for the number of technician/user seats included in your subscription plan (Starter, Growth, or Pro).

The Software, including its underlying code, the AI-powered HVAC-specific estimating engine, the Service Agreement Health Score algorithm, and the offline-first sync architecture, is and remains the exclusive property of Trade Workflows Incorporated. This Agreement grants you a license to use the Software, not any ownership interest in it.
You retain ownership of the customer, job, and business data you input into the Software ("Customer Data"). You grant Licensor a license to host, process, and back up Customer Data solely as necessary to provide and improve the Software, consistent with our Privacy Policy.
The Software is designed to integrate with third-party services such as QuickBooks and Stripe. Your use of those services is governed by their own respective terms, and Licensor is not responsible for their availability or performance.
Access to the Software requires an active paid subscription at the plan tier you select (including any applicable launch pricing locked in at signup). We may suspend or terminate access for non-payment, violation of this Agreement, or conduct that we reasonably believe harms the Software, other users, or Licensor.
Licensor may release updates, patches, or new features for the Software from time to time. Continued use of the Software after an update constitutes acceptance of any related changes communicated to you.
The Software is provided "as is," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Licensor does not warrant that the Software will be error-free or uninterrupted.
To the maximum extent permitted by law, Licensor's total liability arising out of or related to this Agreement shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim. Licensor is not liable for indirect, incidental, or consequential damages.
This Agreement remains in effect for as long as you use the Software. Either party may terminate by ending the subscription per the terms of your service plan. Upon termination, your license to use the Software ends, though provisions relating to ownership, liability, and data survive termination.
This Agreement is governed by the laws of the United States and the state in which Trade Workflows Incorporated is organized, without regard to conflict-of-law principles.
